Important Summary

How these Terms work with your quotation

These Terms provide the general framework for working with Digital Prime Works. Your accepted quotation, proposal, statement of work or other written project agreement (the “Service Agreement”) supplies the project-specific scope, price, schedule and deliverables. If there is a direct conflict, the Service Agreement takes priority for that project.

Mandatory rights remain protected. Nothing in these Terms excludes or restricts any right or remedy that cannot legally be excluded under applicable UAE law.
01

Agreement and acceptance

These Terms and Conditions (the “Terms”) govern access to digitalprimeworks.com (the “Website”) and services supplied by Digital Prime Works (“DPW,” “we,” “us” or “our”). “Client,” “you” and “your” mean the person or organisation using the Website, requesting a quotation or purchasing services.

By using the Website, accepting a quotation or proposal, instructing us in writing to begin, or making a payment connected with a Service Agreement, you confirm that you have read and accepted these Terms.

02

Eligibility and authority

You must have legal capacity to enter the relevant agreement. If you act for a company or another organisation, you confirm that you are authorised to bind it. You must provide accurate contact, billing and project information and promptly correct anything that changes.

03

Services and project scope

We may provide IT support, web design and development, portfolio websites, search engine optimisation and digital visibility services, graphic design and branding, hosting-related assistance, digital consultancy and other tailored digital solutions.

  • The exact deliverables, exclusions, assumptions, price and estimated schedule will be stated in the applicable Service Agreement.
  • Anything not expressly included is outside the agreed scope and may require a separate quotation or written change approval.
  • Examples, concepts, estimates and preliminary discussions do not become committed deliverables unless included in the Service Agreement.
  • We may use suitably qualified team members or subcontractors while remaining responsible for managing our agreed services.
04

Quotations and contract formation

Submitting a contact form or requesting information does not by itself create a service contract. Unless the quotation says otherwise, a contract is formed when you accept our quotation or proposal in writing, sign the relevant document, pay an agreed deposit or first invoice, or clearly instruct us to begin and we confirm acceptance.

  • Quotations remain valid for the period stated in them and may be withdrawn or updated before acceptance.
  • Electronic communications, approvals and records may be used to document the agreement and project decisions.
  • Any purchase terms supplied by a Client apply only if we expressly accept them in writing.
Order of priority: a signed or expressly accepted Service Agreement, approved written variations, these Terms, and then general Website content.
05

Client responsibilities

You agree to cooperate reasonably and provide what is needed to deliver the services. This includes:

  • Giving timely access to relevant systems, accounts, hosting, domains, devices, staff and decision-makers.
  • Providing accurate, complete and lawful content, instructions, credentials and technical information.
  • Reviewing work and supplying consolidated feedback or approvals within agreed timeframes.
  • Maintaining appropriate backups unless backup services are expressly included in our scope.
  • Ensuring that materials you supply may lawfully be used and do not infringe intellectual property, privacy or other rights.
  • Complying with applicable laws and any third-party platform or licence conditions relevant to the project.

We are not responsible for delay, rework or additional cost caused by missing access, inaccurate information, fragmented feedback or late decisions from the Client or its other suppliers.

06

Fees, invoices and payment

Fees, payment stages, currency and due dates are stated in the Service Agreement or invoice. Unless stated otherwise:

  • Quoted fees exclude applicable taxes, government charges, banking fees and third-party costs.
  • Deposits and milestone payments may be required before work or the next project stage begins.
  • You are responsible for paying invoices by the stated due date using an approved payment method.
  • We may pause work, access, delivery or ongoing services after reasonable notice if an invoice is overdue.
  • Project timelines may move when a required payment is late.

You must raise a genuine invoice query promptly and pay any undisputed amount on time. A bank or payment-provider reversal does not remove a valid payment obligation.

07

Third-party products and services

Projects may rely on third-party products such as domain registrations, hosting, cloud services, email platforms, software, themes, plugins, stock assets, fonts, advertising platforms, payment services or external APIs.

  • Third-party charges are additional unless expressly included in the quotation.
  • Those products remain subject to their provider’s terms, prices, availability and licensing rules.
  • We cannot guarantee that a third party will continue a product, preserve a feature, avoid outages or keep its pricing unchanged.
  • Where practical, we will explain important dependencies and reasonable alternatives.

If we purchase a third-party item for you, you must reimburse the stated cost and any non-recoverable charge. Ownership or account transfer is subject to full payment and the provider’s rules.

08

Timelines, feedback and changes

Project dates are good-faith estimates unless the Service Agreement expressly identifies a deadline as fixed. Timing depends on approvals, access, content, payments and third-party availability.

Feedback and revisions

Included revision rounds, if any, will be stated in the Service Agreement. Feedback should be clear, consolidated and within the agreed scope. Conflicting or piecemeal instructions may require clarification and affect timing.

Change requests

A request that changes the agreed scope, deliverables, assumptions, technical requirements or approved direction may require a revised fee and schedule. We will seek written approval before carrying out chargeable additional work.

09

Cancellation, termination and refunds

You may request cancellation in writing. We will apply a fair staged calculation based on the position when the request is received.

  • Before work begins: amounts paid may be refunded after deducting any agreed administrative charge and non-recoverable third-party cost already committed for the project.
  • After work begins: you remain responsible for work completed, time reasonably reserved or committed, approved expenses and non-recoverable third-party costs up to the cancellation date.
  • Where payment exceeds the amount properly due: the balance will be refunded using a reasonable method after the account is finalised.
  • Where the amount due exceeds payments received: we may issue a final invoice for the difference.

A Service Agreement may contain a more specific staged-payment or cancellation schedule; that project-specific schedule will take priority.

Consumer rights: this section does not limit any mandatory cancellation, refund, repair, re-performance or compensation right available under applicable law.
10

Intellectual property

Client materials

You retain ownership of content, trademarks, data and other materials that you provide. You grant us a limited licence to use them as necessary to deliver the services.

Final deliverables

Subject to full payment, rights in final bespoke deliverables transfer or are licensed to you only to the extent stated in the Service Agreement. Drafts, rejected concepts and unused alternatives are not included unless agreed in writing.

Pre-existing and reusable materials

We retain ownership of our pre-existing know-how, methods, templates, code libraries, design systems, internal tools and reusable components. Where incorporated into a deliverable, we grant the Client a non-exclusive licence sufficient to use that deliverable for its intended purpose.

Third-party materials

Fonts, plugins, stock assets, software and similar components remain subject to their original licences. The Client is responsible for renewal or ongoing licence fees transferred to its account.

Portfolio use

Unless confidentiality, law or a written agreement prevents it, we may identify the Client and display publicly released work in our portfolio and marketing materials. You may request in writing that confidential or commercially sensitive work not be displayed.

11

Domains, hosting and accounts

Where we assist with domain names, hosting, email, cloud tools or online accounts:

  • Registration and renewal remain subject to provider availability, fees and policies.
  • The Client should be recorded as owner or authorised account holder where technically available and appropriate.
  • The Client must protect credentials, enable suitable security measures and notify us promptly of suspected compromise.
  • We are not responsible for a lapse, suspension or loss caused by an unpaid renewal, inaccurate registrant information, Client action, provider enforcement or circumstances outside our reasonable control.
  • Migration or handover assistance beyond the agreed scope may be quoted separately.
12

Confidentiality

Each party will use reasonable care to protect non-public business, technical and commercial information received from the other and will use it only for the relevant project or legitimate legal and operational purposes.

Confidentiality does not apply to information that is already public without breach, was lawfully known, is independently developed, is lawfully received from another source, or must be disclosed by law or a competent authority. Where legally permitted, the receiving party will give reasonable notice before a compelled disclosure.

13

Data protection and security

Each party must handle personal data in accordance with the law applicable to its role. We may process business contact, billing, communication, access and technical information to respond to enquiries, administer projects, provide support, protect systems and meet legal obligations.

  • The Client must have a lawful basis for personal data it instructs us to access, migrate, publish or otherwise process.
  • Where a project requires material processing of personal data on the Client’s behalf, the parties may agree additional data-processing terms.
  • We apply reasonable organisational and technical safeguards, but no online system or transmission method can be guaranteed completely secure.
  • The Client remains responsible for user permissions, internal access controls and lawful notices relating to its own website, systems and customers unless expressly included in our scope.

Our separate Privacy Policy will provide more information about personal data collected through the Website.

14

Website and acceptable use

The Website and its content are provided for general information about our services. You must not:

  • Use the Website or our services for unlawful, fraudulent, harmful, abusive or infringing activity.
  • Attempt unauthorised access, introduce malware, interfere with security, overload systems or test vulnerabilities without written permission.
  • Copy, scrape, republish or commercially exploit Website content except as permitted by law or our written consent.
  • Misrepresent your identity or use our name, branding or work in a misleading way.

We may restrict access where reasonably necessary to protect users, systems, rights or legal compliance.

15

Warranties and disclaimers

We will perform agreed services with reasonable care and skill. If you believe an agreed deliverable materially fails to meet its documented specification, notify us promptly with enough detail to investigate and, where appropriate, correct or re-perform the affected work.

Except for express commitments in the Service Agreement and rights that cannot legally be excluded:

  • We do not guarantee a particular search ranking, advertising result, revenue, enquiry volume, uninterrupted availability or outcome controlled by users, competitors, algorithms or third parties.
  • Website information is general and is not legal, financial or other regulated professional advice.
  • Compatibility applies to the browsers, devices, platforms and versions identified in the agreed scope at the time of testing.
  • Changes made by the Client or another supplier after approval or delivery may affect performance, appearance, compatibility or security.
16

Liability and responsibility

Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, wilful misconduct or any mandatory consumer right.

To the maximum extent permitted by applicable law:

  • Neither party is liable to the other for indirect, incidental or consequential loss, or for loss of profit, revenue, opportunity, anticipated savings, goodwill or data, except where such exclusion is prohibited by law.
  • Our total aggregate liability arising from an affected Service Agreement will not exceed the fees paid or payable to us for the service giving rise to the claim during the twelve months before the event, unless a different limit is stated in that Service Agreement.
  • We are not responsible for loss caused by Client materials, instructions, delay, unauthorised changes, missing backups, third-party products or events outside our reasonable control.

You must take reasonable steps to minimise any loss and give us a fair opportunity to investigate and remedy an issue.

Claims relating to Client materials

To the extent permitted by law, the Client is responsible for claims and reasonable costs arising because materials or instructions it supplied were unlawful or infringed another person’s rights, except to the extent caused by our own breach or misconduct.

17

Events beyond reasonable control

Neither party is responsible for delay or failure caused by events beyond its reasonable control, such as major internet or utility failure, cyberattack despite reasonable safeguards, government action, natural disaster, epidemic, conflict, labour disruption or widespread third-party platform outage.

The affected party should notify the other when reasonably possible and take proportionate steps to reduce the impact. Payment remains due for work already completed and non-recoverable commitments. If the disruption continues for a substantial period, either party may discuss suspension, revised delivery or fair termination of the affected work.

18

Suspension and termination

Either party may terminate a Service Agreement where the other commits a material breach and does not remedy it within a reasonable written cure period, or immediately where the breach cannot reasonably be cured, continued performance would be unlawful, or insolvency or serious security risk justifies immediate action.

We may suspend affected services after reasonable notice for overdue undisputed payment, missing cooperation, unlawful use, security threats or breach of third-party requirements.

On termination, the Client must pay valid fees and costs accrued to the termination date. Each party should return or securely handle the other’s confidential property as reasonably required. Terms concerning payment, ownership, confidentiality, liability and dispute resolution survive where their nature requires.

19

Complaints, disputes and governing law

If a concern arises, please contact us first with the relevant project details. Both parties will attempt in good faith to resolve the matter through direct discussion before starting formal proceedings.

Unless mandatory law requires otherwise, these Terms and each Service Agreement are governed by the federal laws of the United Arab Emirates and the laws applicable in the Emirate of Dubai. The courts of Dubai will have jurisdiction over disputes, subject to any mandatory consumer forum or other jurisdiction that cannot lawfully be excluded.

20

General provisions and contact

Updates

We may update these Website Terms to reflect legal, operational or service changes. The revised version will display a new “Last updated” date. Changes do not retroactively alter an existing Service Agreement unless required by law or accepted by both parties.

Assignment

You may not transfer a Service Agreement without our prior written consent, not to be unreasonably withheld. We may transfer our rights and obligations as part of a genuine business restructuring or transfer, provided this does not reduce mandatory Client rights.

Severability and waiver

If a provision is found unlawful or unenforceable, it will be limited or removed only to the extent necessary, and the remaining provisions continue. A delay in enforcing a right is not a waiver of that right.

Entire agreement

These Terms and the relevant Service Agreement form the agreement concerning their subject matter and replace earlier discussions on that subject, except for fraudulent misrepresentation or a right that cannot lawfully be excluded.

Project notices may be sent using the contact details in the Service Agreement. General questions about these Terms may be sent to:
